• Further Representations

You further represent, warrant, and agree that:

• Your Submissions do not constitute "defense articles" or "defense services" as defined by the U.S. Department of State's Directorate of Defense Trade Controls (DDTC) under the International Traffic in Arms Regulations (ITAR) 22 CFR Parts 120-130 and are not subject to ITAR jurisdiction, the U.S. Munitions List, or DDTC's jurisdiction;
• If applicable, you have provided the correct and accurate Export Control Classification Number (ECCN) as defined under the Export Administration Regulations (EAR) 15 CFR Parts 730-774 to Win Source;
• All submitted content is accurate and error-free.
• Service Suspension

In emergencies, such as natural disasters (e.g., fires, power outages, earthquakes, volcanic eruptions, tsunamis, epidemics) or during regular maintenance of service facilities, this website may temporarily suspend services without prior notice to members. Win Source assumes no responsibility for any delays or temporary interruptions in services caused by these reasons or any other reasons resulting in damage to members or third parties.

• Prohibited User Conduct

Users must not compromise the website's security or tamper with system resources and/or accounts. • You knew before receiving it from Win Source, as evidenced by documentation;
• Is obtained from a legitimate source not through illegal or infringing means;

• General Provisions

The website may provide additional services or content, which will be accompanied by additional terms and conditions displayed on the website. These additional terms apply to the specific services or content they describe. These Terms of Use constitute the entire agreement between you and Win Source regarding these terms. Win Source's waiver of any breach or failure to perform does not constitute a waiver of any previous or subsequent breaches. If any part of these Terms of Use is found invalid or unenforceable by a court or arbitrator of competent jurisdiction, the validity and enforceability of the remaining parts will not be affected. All orders placed through Win Source, including excess inventory product orders and orders placed through embedded online stores promoted under other brand names, are subject to these "Order Conditions." Any change requests submitted by the buyer in any other documents are explicitly rejected. Even if the order uses different forms, these Order Conditions' terms will prevail and become the only terms governing the order.

• Order Verification and Acceptance

When you submit an order, we may verify your payment method, shipping address, and/or tax exemption identification number (if applicable) before processing. You confirm that your order is an offer to purchase the products listed in the purchase order based on these Order Conditions. Win Source reserves the right to accept the order by processing payment and shipment or to reject the order or any part of it for any reason. If we reject your order, we will attempt to notify you through the email address or other contact information provided. Delivery and shipment dates related to orders are estimates and do not constitute fixed or guaranteed dates. For clarity, "Products" include all products and services offered through Win Source's marketing plans.

• Quantity Limits

Win Source reserves the right to limit or cancel the purchasable quantities of any order at any time and may change the availability or validity of any special offers at any time. Due to supply issues or other reasons, we may reject any order or part of it, even if the order has been accepted. If we reject all or part of the order after you have paid, Win Source will refund the amount paid (excluding interest). We assume no responsibility for such cases.

• Electronic Communication

When you place an order through the website, you must provide a valid email address to receive order status updates, out-of-stock product recommendations, and other notifications. If you fail to provide a valid email address or do not receive communications due to email system errors, spam filters, or other reasons beyond Win Source's control, Win Source is not responsible for any resulting losses or missed information. When Win Source sends you an email or posts a notice on the website, you are deemed to have received all agreements, statements, disclosures, and other information.

• Pricing and Product Information

Win Source strives to provide the most current and accurate product and pricing information, but we do not guarantee its accuracy or completeness. Additionally, Win Source relies on the original manufacturer or authorized distributor to provide warnings related to product usage and any chemicals contained in the product. Product information may change at any time without notice. Prices may also change at any time before Win Source accepts and processes your order. If there is a significant error in the product description or availability information that affects your pending order, we will notify you of the revised order version. At that time, you can choose to accept the revised order or cancel it. If you do not respond within ten business days of receiving the notice, your order will be considered canceled. If the order is canceled and you have already paid, Win Source will refund the amount paid. All prices are in U.S. dollars. Win Source is not responsible for any pricing, printing, or other errors in quotations and reserves the right to cancel orders resulting from such errors.

• Order Usage Terms
• Order Verification and Acceptance

We ensure quick delivery of the products you need through the following steps: create a shopping cart -> checkout -> select shipping options -> select payment method -> submit order -> order confirmation -> delivery.

• Order Changes or Cancellations

Most orders placed with Win Source are final. If the products have not been shipped, you can contact our customer service representatives to change order details, such as the shipping address, batch shipping, adjusting shipping times, or combining multiple orders. Once you submit an order on the website, it becomes effective when we send the order acceptance notification email. Please note that once the order is registered, it cannot be canceled.

• Payment Methods

We offer the following payment methods:

• Credit account (Net 30, subject to application)

• Handling Fees

We do not set a minimum order quantity or any handling fees.

Order Cancellation Fees

• Orders paid by wire transfer: Banks may charge a fee for processing refunds, and customers must bear the wire transfer fees or costs due to exchange rate fluctuations. It is recommended to confirm order information with us before making a large bank transfer.
• Orders paid by PayPal or credit card:There are no handling fees for refunds. However, it is recommended that customers pay in U.S. dollars to avoid refund losses due to exchange rate differences. Customers are responsible for paying any currency transaction fees that may arise.
• Orders paid by e-check: Different banks may charge a fee for processing refunds, and customers must bear any international transaction fees that may arise. Customers are advised to pay orders directly using a credit card and avoid using the e-check channel.
• Shipping

Customers can choose industry-leading carriers such as FedEx, UPS, and DHL at checkout. You can choose to charge the shipping costs to your shipping account or to Win Source's shipping account and pay prepaid fees when ordering. All relevant shipping and tracking information (including air waybill numbers) will be automatically provided for each shipment.

• VAT and Other Taxes

Depending on the customs laws of the destination country, you may need to pay shipping taxes, VAT, port handling fees, and other customs fees, which will be calculated as a percentage of the customs value of the goods. These taxes and fees are not included in the online order price, and global carriers will directly charge you any related fees during international shipping.

• Registration, Order Validity, and Order Acceptance

Placing an order indicates your agreement to purchase products from Win Source. Depending on product availability and these order terms, Win Source may accept your order.

Win Source reserves the right to fulfill orders by processing payment and shipment or to reject all or part of the order. Product delivery constitutes order acceptance. If we reject your order, we will notify you using the email address or other contact information you provided. All delivery and shipping dates are estimates and do not constitute guaranteed delivery dates.

• Minimum Order Amount, Shipping, and Shipping Fees

Please provide accurate recipient names, addresses, and contact information. You are responsible for any delays or non-delivery due to:

• Incorrect or incomplete information provided.
• No one being available to sign for the goods.
• Delayed Payment

If you fail to pay amounts due on time, you must cover all costs incurred by Win Source in recovering these amounts, including but not limited to litigation fees, recovery fees, and attorney fees.

• Handling Out of Stock

If the goods you ordered are out of stock, you can choose to delay shipment, batch shipment, or cancel the out-of-stock goods order. If you choose to delay shipment or batch shipment and the goods are still not shipped within the agreed time, the order for that batch of out-of-stock goods will be canceled.

• Damaged Goods

If the goods you receive are damaged during transportation, please retain the shipping carton, packaging materials, and damaged parts. Contact Win Source's customer service representative immediately to file a claim.

• Return, Exchange, or Restocking Policy

Win Source will accept returns under the following terms and provide exchanges or refunds. Items purchased directly from third parties, not Win Source, are not eligible for return, refund, or exchange.

• Return Handling Process
• Return Authorization (RMA) Number

Before returning any product, please obtain a Return Authorization (RMA) number. Certain products shipped directly from suppliers need to be returned to the supplier after obtaining the RMA number. You will be informed of the return location after obtaining the RMA number.

• Return Period and Conditions

For all returns not related to manufacturer warranties, returns must be made within 60 days of the invoice date and include the original invoice number, a brief explanation of the return reason, and the product must be in its original packaging and resalable condition.

• Electrostatic Discharge (ESD) Sensitive Devices

All returned ESD-sensitive devices will undergo incoming inspection based on Win Source's ESD work instructions and the latest ANSI/ESD S20.20 standards. ESD products not handled per the standards will not qualify for credit or refund.

• Shipping Fees

Return shipping must be prepaid or deducted from the invoice amount as described in the RMA process. Products returned solely due to customer error may incur a restocking fee.

• Non-Cancelable/Non-Returnable Products

Products specially sourced by Win Source from manufacturers for you may be non- cancelable/non-returnable. Parts designated as "non-cancelable/non-returnable" at the time of quotation or sale cannot be returned, including Chip Outpost products, except for limited warranty.

• Manufacturer Warranty Returns

Returns related to manufacturer warranties are subject to the manufacturer's warranty terms and return policies. Please contact the customer service representative for details. We reserve the right to accept or reject product returns or replacements at our discretion.

• Return and Exchange Handling

For products delivered incorrectly, in the wrong quantity, or with shipping errors due to Win Source's fault, you must apply for returns or exchanges within seven days of receiving the goods. Provide the following information:

• Original invoice number and order number
• Product labels
• Physical photos of the problematic products
• A brief explanation of the return or exchange reason

Returned products must be in their original packaging and resalable condition. We only accept return or exchange requests for delivery errors, mismatched product models, or quality defects.

For products with quality defects, you must apply for returns within 365 days of receiving the products. Provide the following information:

• Original invoice number and order access number
• Product labels
• Physical photos of the problematic products
• A brief explanation of the return or exchange reason

If the quality issue cannot be shown through photos, please provide detailed testing methods. Return or exchange requests beyond the specified period in this agreement will not be accepted, and you will bear the relevant responsibility. All ESD-sensitive devices will undergo incoming inspection based on Win Source's work instructions and the latest ANSI/ESD S20.20 standards. ESD products not handled per the standards will lose eligibility for return and exchange, and you will bear the inspection costs.

• Return Shipping Fees

For products returned due to Win Source's fault, including incorrect products, incorrect quantities, quality defects, or shipping errors, Win Source will bear the return shipping costs. Return shipping fees must be prepaid, and the corresponding fees will be refunded later.

• Counterfeit Products Declaration

By returning any product to Win Source or the supplier (if applicable), you declare and warrant that the returned products were purchased through Win Source's website and are not counterfeit or non-compliant. Counterfeit products are not eligible for return, refund, or exchange, and Win Source does not accept any counterfeit products. Win Source or the supplier (if applicable) has the right to test any returned products to determine if they are counterfeit or non-compliant. If any returned products are suspected or determined to be counterfeit or non-compliant, Win Source or the supplier may:

• Report to relevant government or regulatory agencies or other applicable third parties.
• Isolate the products for further testing or analysis and provide no replacement products or refunds until it is determined whether the products comply with these order terms.
• If the products are determined to be counterfeit, isolate them for five years or longer as required by applicable laws, then irreversibly destroy the products.
• Take other measures required or allowed by applicable laws and Win Source's anti-counterfeit policies.

If you send any counterfeit products to Win Source, you will bear all costs and damages related to this and agree to indemnify Win Source for any claims and damages related to such counterfeit products, including attorney fees and related costs

• Obtaining an RMA Number

Before returning any product, contact Win Source's RMA representative and provide a copy of the original purchase order and a brief description of the return issue. The RMA number is valid for 30 days from issuance.

• Return Conditions

Returned products must remain in their original packaging and labels, free from physical damage, ESD damage, or exposure to a moist environment. All manuals, accessories, and packaging originally included with the product must be intact. The RMA number must be clearly written on the outside of the shipping carton.

• Handling Process

When our distribution center receives and verifies the returned products, the amount will be credited to your account. For returns involving quality defects, returns require third-party testing. If a functional problem is confirmed, the supplier will accept the return and refund the full amount; if there is no functional problem and the product meets the specifications, the product will not be returned or refunded.

• Special Notes

If the product you receive is visibly damaged, report it to the carrier upon receipt and contact the Win Source Electronics sales office. Products purchased through NCNR (Non-Cancelable, Non-Returnable) agreements or classified as CSP (Customer Specific Products) are not accepted for returns. Some products may need to be returned directly to the manufacturer. Returned products must be unused (except for defective products), and ESD or moisture-sensitive products must not be opened unless under controlled conditions.

• Force Majeure

WIN SOURCE shall not be liable for any delays in delivery or failure to perform its obligations due to causes beyond its reasonable control. These causes include, but are not limited to, product allocation, material shortages, labor disputes, transportation delays, unforeseen circumstances, natural disasters, third-party actions or omissions, acts of civil or military authorities, government priorities, fire, strikes, floods, severe weather, computer failures, terrorism, epidemics, quarantine restrictions, riots, or war. In such cases, WIN SOURCE's delivery or performance time shall be extended accordingly, or WIN SOURCE may, at its discretion, cancel any order or remaining part thereof by notifying you without liability.

• Modification of Order Conditions

WIN SOURCE reserves the right to modify these order conditions at any time without prior notice. You should review and comply with the latest order conditions before purchasing products, as well as all applicable laws, regulations, and contractual provisions related to product purchase, sale, labeling, and storage. By continuing to purchase products after changes to these order conditions, you agree to the then- current order conditions. If these order conditions are revised, the "Last Updated Date" will be updated accordingly. Despite any contrary provisions, WIN SOURCE reserves the right to modify these terms, and such modifications shall be binding on you and WIN SOURCE.

• Export Use Terms

Products sold by WIN SOURCE and its subsidiaries or affiliates (collectively "WIN SOURCE.net") are not intended for use in life support systems, human implants, nuclear facilities or systems, or any other applications where product failure could reasonably be expected to result in personal injury, loss of life, or catastrophic property damage. By ordering these products, you agree not to use them for these applications. The buyer guarantees that they will be the ultimate recipient of the delivered products and acknowledges that the products are subject to export and/or import control laws and regulations of various countries, including export management laws and regulations. The products sold by WIN SOURCE are not designed, intended, or authorized for use in life support, life-sustaining, nuclear power, or other applications where product failure can reasonably be expected to cause personal injury, loss of life, or catastrophic property damage.

If you breach this agreement, you agree to indemnify and hold WIN SOURCE harmless from any loss, cost, or damage arising from such breach. This includes:

• Usage Risks: The buyer acknowledges that such use or sale is at the buyer's own risk.
• Liability Limitation: The buyer agrees that the seller and the product manufacturer are not liable for any claims or damages arising from such use.
• Indemnification Obligations: The buyer agrees to indemnify, defend, and hold harmless the seller and the product manufacturer from any and all claims, damages, losses, costs, expenses, and liabilities arising from such use or sale.
• General Provisions

These order conditions constitute the complete agreement between the parties regarding the subject matter of these terms. WIN SOURCE's waiver of any breach or failure to perform obligations does not constitute a waiver of any previous or subsequent breaches or failures. If any part of these order conditions is found invalid or unenforceable by a court or arbitrator of competent jurisdiction, the validity of the remaining parts shall not be affected, and the remaining parts shall remain in full force and effect. The court or arbitrator has the authority to modify any invalid or unenforceable terms to reflect the original intent of the parties as closely as possible and make them valid and enforceable.

Without prior written consent from WIN SOURCE, you may not transfer or assign any rights, obligations, or responsibilities under these terms by law, merger, or otherwise. These order conditions and their covered content (including but not limited to product purchases) do not create any joint venture, partnership, employment, or agency relationship between you and WIN SOURCE or its suppliers. The obligations, rights, terms, and conditions in these order conditions shall be binding on the parties and their respective authorized successors and assigns and shall only benefit them, not granting any third-party rights or remedies.

• Changes to Terms of Use

WIN SOURCE reserves the right to modify these Terms of Use at any time without prior notice. Such modifications may involve fees for accessing and using the website or any part thereof. Before accessing, browsing, using the website, or interacting with any software, programs, or services on the website, you are responsible for reviewing the current Terms of Use. If the Terms of Use change, your continued use of the website, services, or content indicates your agreement to the new terms. Any changes or updates to the Terms of Use will be reflected in the "Last Modified Date." By default, as part of registering for certain functions on the website, you opt to receive email notifications from WIN SOURCE regarding changes to terms and policies.
